By accessing or using SidePen (the “Service”), operated by RYANTURNER.COM, LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service constitutes your acceptance of and agreement to these Terms.

2. Description of Service

SidePen is a web-based writing application that provides AI-powered writing assistance, document management, and related features. The Service is provided on an “as is” and “as available” basis. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts at our sole discretion.

4. User Content

You retain ownership of all content you create using the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing and improving the Service. We do not use your content to train AI models. You are solely responsible for the content you create, store, and share through the Service.

5. AI-Generated Content

The Service includes AI-powered features that generate suggestions, text, and other content. AI-generated content is provided for informational and assistive purposes only. We make no warranties regarding the accuracy, completeness, or suitability of AI-generated content. You are solely responsible for reviewing, editing, and using any AI-generated content.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate or distribute harmful, abusive, defamatory, or illegal content
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for any purpose that is fraudulent or deceptive
  • Resell, sublicense, or redistribute the Service without authorization

7. Indemnification

You agree to indemnify, defend, and hold harmless RYANTURNER.COM, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) any content you create, store, or share through the Service; or (e) any use of AI-generated content provided by the Service. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RYANTURNER.COM, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING AI-GENERATED CONTENT; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT, INCLUDING AI-GENERATED CONTENT, WILL BE ACCURATE OR RELIABLE.

10. Intellectual Property

The Service and its original content, features, and functionality are owned by RYANTURNER.COM, LLC and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Your use of the Service is also governed by our privacy practices. By using the Service, you consent to the collection and use of information as described in our practices. We process your data solely for the purpose of providing the Service.
